1. Acceptance of these Terms

These Terms of Service ("Terms") are a legal agreement between you and Spade Suite Pty Ltd (ABN 76 689 584 816) ("Spade", "we", "us"). By creating an account or using the Spade app, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Spade.

2. Eligibility

Spade is available only to people aged 18 years or older. By using Spade, you confirm that you are at least 18 and that the information you provide to us is accurate and kept up to date.

Spade is a community built for women, and membership is limited to women.

3. Your account

You are responsible for activity that happens under your account and for keeping your login details secure. Do not share your password, and tell us promptly at privacy@spadesuite.app if you believe your account has been accessed without your permission. You may hold only one account, and you may not transfer your account to anyone else. You can delete your account at any time from within the app.

4. Acceptable use

Spade is a community built around safety and respect. You agree to use it lawfully and respectfully, and not to engage in illegal, abusive, harassing, threatening or hateful behaviour towards others — inside or outside the app, where that behaviour targets another member.

5. User content and Awareness reports

Spade lets you create and share content, including posts, comments, photos, videos and Awareness reports. This content is user-generated. You are responsible for what you share, and you must not post content that is false, misleading, defamatory, harassing or that infringes someone else's rights, including their privacy.

Awareness reports

The Awareness feature lets members share concerns about individuals based on their own first-hand experience. When you submit a report, you confirm that:

  • It describes your own experience, honestly and in good faith.
  • It is not submitted to harass, intimidate, extort or get revenge on anyone.
  • It does not include another person's contact details, home address, workplace, banking details, health information, or other information that could be used to locate, contact or exploit them.
  • You understand that knowingly submitting a false report is a serious breach of these Terms and will result in termination of your account, and may expose you to legal liability (including for defamation).

Awareness reports are user-submitted and unverified — treat them as one signal among many, not fact, and use your own judgement. Spade does not confirm the accuracy of any report.

Moderation

To reduce harm, Awareness reports are human-reviewed before publication. We may also use automated tools to help detect content that breaches these Terms. We may decline to publish, remove, redact or edit content that breaches these Terms or our community values, and we may suspend or remove content while we investigate a complaint. We are not obliged to publish any content, and moderating content does not make us the author of, or responsible for, content that users submit.

Blocking and reporting

The app provides tools to report content or members and to block members. If another member blocks you, you must not attempt to contact them through Spade, from another account, or by using information obtained from Spade. We review in-app reports and take action where our Terms or community values are breached, including removing content, suspending or banning accounts and, where appropriate, notifying authorities.

Complaints and takedown

If you believe content on Spade about you or someone else is false, unlawful or breaches these Terms, contact us at privacy@spadesuite.app. We operate a takedown process: we will review the complaint, may temporarily hide the content while we do, and will remove content that should not appear. This process is available to non-users as well as members.

6. Prohibited conduct

You must not:

  • Submit false, misleading, defamatory or malicious reports or content.
  • Harass, threaten, stalk, dox or intimidate any person, or encourage others to do so.
  • Use information obtained from Spade (including Awareness reports) to harass, confront, threaten or harm any person. Awareness reports exist to help you make informed choices about your own safety — not as a basis for retaliation or vigilantism.
  • Post unlawful, hateful or sexually exploitative material.
  • Impersonate another person or misrepresent your identity, age, gender or affiliation to gain access to Spade.
  • Screenshot, copy or share content from Spade (including Awareness reports) outside the app.
  • Attempt to disrupt, reverse engineer, scrape or gain unauthorised access to Spade or its systems, or use automated tools to collect data from it.
  • Use Spade for commercial purposes, advertising or promotion without our written consent.

7. Intellectual property and content licence

Spade, including the app, its design, brand and underlying software, is owned by Spade Suite Pty Ltd and protected by intellectual property laws. You may not copy, modify or distribute any part of Spade except as these Terms allow.

You keep ownership of the content you create. By posting content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt (including blurring or redacting) and display that content as needed to operate, moderate and provide the service. For Awareness reports, this licence survives the deletion of your account to the extent we retain reports for community safety, as described in our Privacy Policy.

If you send us feedback or suggestions, we may use them without obligation to you.

8. Fees

Spade is currently free to use. If we introduce paid features or subscriptions in the future, they will be billed through the Apple App Store, and the price, billing period and cancellation terms will be presented to you before you pay. We will give you at least 30 days' notice of any price increase, which will apply only from your next renewal.

9. The App Store

The Spade app is distributed through the Apple App Store. You acknowledge that:

  • These Terms are between you and Spade Suite Pty Ltd only — not with Apple Inc. ("Apple"), and Apple is not responsible for the app or its content.
  • Apple has no obligation to provide maintenance or support for the app.
  • If the app fails to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation for the app.
  • Apple is not responsible for addressing any claims relating to the app, including product liability claims, consumer protection claims, or claims that the app infringes a third party's intellectual property rights.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
  • You represent that you are not located in a country subject to a US Government embargo and are not on any US Government list of prohibited or restricted parties.

10. Disclaimers

Spade is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no warranties that the service will be uninterrupted, error-free or completely secure.

Awareness reports and other user content are not verified by us. Spade is an information-sharing community, not a background-checking, screening or emergency service, and it is not a substitute for your own judgement or for professional or police advice. If you are in immediate danger, call 000. For confidential support, 1800RESPECT (1800 737 732) is available 24 hours a day.

11. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. To the extent our liability under a consumer guarantee can be limited, it is limited (at our option) to resupplying the service or paying the cost of having it resupplied.

12. Limitation of liability

To the maximum extent permitted by law, Spade Suite Pty Ltd will not be liable for any indirect, incidental, special or consequential loss arising from your use of, or inability to use, the service, or from any user content (including Awareness reports), or from the conduct of any member or third party, whether online or offline. Where our liability cannot be excluded but can be limited, it is limited to the greatest extent permitted by law.

13. Indemnity

You agree to indemnify Spade Suite Pty Ltd against claims, losses and costs (including reasonable legal costs) arising from content you submit, your breach of these Terms, or your misuse of the service, except to the extent we caused the loss and to the extent permitted by law.

14. Termination

You may stop using Spade and delete your account at any time. We may suspend or terminate your access, or remove your content, if you breach these Terms, if we are required to by law, or where necessary to protect the safety of our community. Where reasonable, we will tell you why. Provisions that by their nature should survive — including intellectual property, content licences, disclaimers, limitation of liability and indemnity — survive termination.

15. Disputes and governing law

If you have a dispute with us, contact us first at privacy@spadesuite.app — we will try in good faith to resolve it with you within 30 days before either of us starts formal proceedings. Nothing in this clause prevents you from making a complaint to a regulator (such as the OAIC or eSafety Commissioner) at any time.

These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that state.

16. General

  • Severability. If any part of these Terms is found invalid or unenforceable, the rest remains in effect.
  • No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms. We may assign them as part of a restructure, merger or sale, and will notify you if we do.
  • Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us about the service.
  • Notices. We may notify you via the app or the email address on your account.

17. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you in the app before the changes take effect. Continuing to use Spade after changes take effect means you accept the updated Terms.
